Terms of Service
These Terms of Service ("Terms") govern your access to and use of the services provided by Efficient AI Algorithms ("we," "us," "our") through algorithmsdata.io and related applications, including the Express Engine platform (collectively, the "Services"). By creating an account, purchasing a plan, or using any Service, you agree to these Terms. If you do not agree, do not use the Services.
1. What the Services are
Efficient AI Algorithms provides the following products:
- Infrastructure & Deliverability — email-authentication diagnostics (a free DNS-based scan) and a one-time remediation audit delivered as a PDF. We do not implement DNS changes on your behalf and do not offer a monitoring subscription.
- AI Automation & Operations (Omnichannel AI) — an AI-powered WhatsApp and multichannel automation platform sold by monthly subscription that includes a volume of interactions, with overage billing for usage above the included volume.
- Data Intelligence & Hygiene — asynchronous data-processing services (including list cleaning/hygiene) billed per unit of work processed (credits).
We may add, modify, or discontinue features. Pricing and product availability are as shown on the Services at the time of purchase.
2. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract. You are responsible for the accuracy of your registration information, for keeping your credentials secure, and for all activity under your account.
3. Free trial and automatic billing (Omnichannel AI)
The AI Automation platform may be offered with a 7-day free trial. During the trial you have a fixed quota of 50 text, 5 voice, and 10 image interactions; the assistant pauses once a quota is reached, and no overage is charged during the trial.
- A valid payment method is required at signup to start the trial.
- Unless you cancel before the trial ends, your subscription automatically converts to a paid plan and your payment method is charged the then-current plan price at the end of the trial period.
- You may cancel at any time before the charge from your account dashboard (Billing → Manage billing → Stripe portal) or by writing to support@algorithmsdata.io, as described in Section 9. Canceling during the trial stops the conversion to a paid plan.
4. Plans, included volume, and overage
The AI Automation platform is offered in tiers (for example $79 / $199 / $499 per month, as displayed at purchase). Each plan includes a set volume of interactions. Usage above the included volume incurs an overage charge at the per-unit rate shown for your plan; overage is calculated for the billing period and invoiced in the following billing cycle. You authorize us to charge your payment method for subscription fees and any accrued overage.
For Deliverability, the fee is as displayed: a single one-time audit fee. The scan is free and unlimited. For Data Intelligence & Hygiene, charges accrue per unit/row processed at the displayed rate. Where a pay-on-success model is offered for data processing, you are charged only for work successfully delivered, as described on the relevant Service page.
5. Payments, credits, and taxes
- Payments are processed by Stripe. We do not store full card numbers.
- Prepaid credits, where offered, are consumed as work is processed and are non-refundable. This does not affect the one-time Deliverability audit refund described on its product page (a refund if no clear gap is shown).
- Prices are exclusive of taxes. You are responsible for any applicable sales, use, VAT, GST, or similar taxes, which may be calculated and added at checkout based on your location.
6. Your content and acceptable use
You retain ownership of the business content you provide (for example menus, FAQs, service descriptions, documents, and contact lists). You grant us a limited license to process that content solely to provide the Services.
You are solely responsible for:
- the content your bot or automation transmits to end users;
- obtaining any consents required to message your contacts; and
- complying with all applicable laws and with the terms, policies, and messaging rules of WhatsApp / Meta and any other channel you connect. You are responsible for your use of each channel in accordance with the channel provider's policies applicable to your chosen connection method (Section 8.2), and for the communications you send through it.
You must ensure that your end users are clearly and conspicuously informed that they are interacting with an automated assistant, where applicable law requires it and as good practice in all cases. The Services offer mechanisms to include that disclosure.
You may not use the Services to send unlawful, infringing, deceptive, or abusive content, to violate any third-party platform's rules, or in any way that could cause us or a channel provider to suspend or penalize accounts.
7. Service availability and disclaimers
The Services are provided "as is" and "as available," without warranties of any kind, express or implied, to the maximum extent permitted by law.
We do not guarantee uninterrupted or error-free availability. In particular, third-party channel connections (including the WhatsApp connection) depend on external providers and may require occasional reconnection or experience interruptions outside our control. We do not warrant that the Services will meet your requirements or that results (including deliverability scores or automation outputs) will be uninterrupted, complete, or error-free.
Diagnostic outputs (such as the deliverability score) are based on public DNS and are informational; they do not guarantee inbox placement or prevention of all fraud. Email authentication addresses spoofing of your exact domain and does not stop look-alike domains or already-compromised mailboxes.
8. Platform risk and channel availability
8.1 Nature of the risk. The messaging channels the Services connect to (including WhatsApp, Instagram, and Messenger) are operated by Meta Platforms, Inc. ("Meta"). Meta runs automated compliance systems that may restrict, suspend, or disable numbers and accounts under any connection method, including official verified accounts, and this may occur without any violation by the Customer.
8.2 Connection methods. The Services may offer more than one channel connection method: (a) connection through Meta's official API (WhatsApp Business Platform), and (b) connection through a QR code, which operates outside the WhatsApp Business Platform and which Meta may interrupt at any time without notice. The nature and risk level of each method are disclosed to the Customer before connecting, and the choice of method belongs to the Customer.
8.3 Scope of the service. Efficient AI Algorithms provides the automation software and the technical connection to the channel under the method chosen by the Customer. It does not control Meta's decisions regarding the Customer's account or number and cannot guarantee their review or reversal. The continuity of that account or number is not part of the subject matter of this agreement. We will provide reasonable assistance to the Customer in any appeal or review processes Meta makes available, without this constituting a guarantee of outcome.
8.4 Informed consent. The Customer acknowledges having been informed — prior to connecting any channel, through the notice presented at that time — of this risk, of the nature of the chosen connection method, and of the refund policy in this section. Efficient AI Algorithms keeps a record of that acceptance, including its date, the chosen method, and the version of the text accepted.
8.5 Refunds. The restriction, suspension, or disabling of a number, account, or connection by Meta's decision — under any of the methods described in Section 8.2, including interruption of the QR-code connection — does not give rise to any refund, in whole or in part, of fees already accrued for the current billing period or of credits already purchased, given that the automation platform remains available as described in Section 8.6 and credits retain their utility under that same section. The Customer may cancel future renewals at any time in accordance with Section 9. This clause does not apply where the restriction results from willful misconduct or negligence of Efficient AI Algorithms other than the inherent operation of the connection method chosen and disclosed under Sections 8.2 and 8.4.
8.6 Continuity. As long as the Customer's account remains in good payment standing, their configuration, knowledge base, and credits remain intact and available following a channel restriction, and the Customer may reconnect the same number (if reinstated) or a different one, under any available method, at no additional setup cost. If the Customer cancels their subscription, we will retain their configuration and knowledge base for at least ninety (90) days from the effective date of cancellation, to allow reconnection or export of their content.
9. Cancellation and refunds
- Subscriptions (AI Automation) may be canceled at any time from your account dashboard (Billing → Manage billing → Stripe portal) or by writing to support@algorithmsdata.io — no phone calls or additional steps. Cancellation stops future renewals and takes effect at the end of the current paid period. The final period is non-refundable (no partial-period refunds).
- One-time fees (Deliverability audit) follow the refund terms shown on the product page — for example, a refund on the audit if no clear gap is shown. The audit is a delivery commitment: you receive the PDF with the exact records. We make no guarantee as to the outcome of records we do not publish.
- Credits: prepaid credits are non-refundable.
- Suspension or disabling of a channel by Meta's decision is governed by Section 8 and does not give rise to a refund, under the terms and subject to the exception provided there.
10. Suspension and termination
We may suspend or terminate your account, with or without notice, for: non-payment; violation of these Terms or of a channel provider's rules; abuse, fraud, or security risk; or as required by law. You may stop using the Services at any time. If we terminate your account without cause, we will refund unused prepaid credits. Sections that by their nature should survive termination (payment obligations, platform risk (Section 8), indemnification, disclaimers, limitation of liability, governing law) survive.
11. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total aggregate liability for any claim arising out of or relating to the Services is limited to the amount you paid us for the specific Service giving rise to the claim in the twelve (12) months preceding the claim. Some jurisdictions do not allow certain limitations, in which case the limitation applies to the fullest extent permitted.
12. Indemnification
You agree to indemnify and hold harmless Efficient AI Algorithms against claims, damages, penalties, and reasonable defense costs arising from: (a) the content your bot or automation transmits to end users; (b) your failure to obtain the consents required to contact your recipients; (c) your breach of these Terms or of the applicable channel-provider policies under Section 8.2; or (d) your violation of applicable laws, including those on commercial messaging, data protection, and automated-system disclosure.
13. Data and sub-processors
With respect to the personal data of the Customer's end users processed through the Services, the Customer acts as the data controller and Efficient AI Algorithms as processor, acting solely on the Customer's instructions and to provide the Services. We use the sub-processors listed at /subprocessors (including AI-model and hosting providers). We do not use Customer content or end-user data to train artificial-intelligence models. The Customer is responsible for having a legal basis for the processing and for its information obligations toward its end users. Processing is further governed by our Privacy Policy, which forms part of these Terms.
14. Governing law and disputes
These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles. The exclusive venue for any dispute shall be the state or federal courts located in Maricopa County, Arizona, and you consent to their jurisdiction.
15. Language
These Terms are published in English and Spanish. In the event of any discrepancy between the two versions, the English version shall prevail.
16. General provisions
Entire agreement. These Terms, together with the Privacy Policy and the notices accepted under Section 8.4, constitute the entire agreement between the parties regarding the Services. Severability. If any provision is held invalid, the remaining provisions stay in full force. No waiver. Failure to exercise a right is not a waiver of it. Assignment. You may not assign these Terms without our consent; we may assign them in connection with a reorganization or transfer of the business. Force majeure. Neither party is liable for failures caused by events beyond its reasonable control. Notices. Notices will be sent to the email on file for your account and to support@algorithmsdata.io.
17. Changes to these Terms
For material changes to these Terms (including prices, limitations of liability, refund policy, or forum), we will notify you at the email on file at least thirty (30) days before they take effect, and you may cancel before that date without penalty.
